Provider Terms & Conditions

1. About LeaseIQ

LeaseIQ is an introducer service that connects organisations seeking to lease residential property for the delivery of supported housing, supported living, or care services (“Providers”) with property owners (“Landlords”).

Providers may include Registered Providers of social housing regulated by the Regulator of Social Housing, providers registered with the Care Quality Commission, specialist supported housing providers, supported living and care providers, Community Interest Companies, charities, and other private or non-regulated operators.

LeaseIQ does not own, manage, or lease any properties directly. Our role is to facilitate introductions and support the process of reaching agreement between Providers and Landlords.

2. Acceptance of These Terms

These Terms take effect when you submit an enquiry to LeaseIQ, register your requirements with us, or engage with an introduction we make, and confirm your acceptance.

By doing so you confirm that you have read and accept these Terms and have authority to accept them on behalf of your organisation.

3. Our Role as Introducer

By responding to or engaging with a LeaseIQ introduction, you acknowledge that:

  • LeaseIQ is acting as an introducer only and is not a party to any lease agreement.
  • Any lease entered into will be directly between you (the Provider) and the Landlord.
  • LeaseIQ does not provide legal, financial, or regulatory advice, and you should obtain your own professional advice before entering into any commitment.

4. No Fees Payable by Providers

LeaseIQ’s fees are payable by the Landlord.

No fee of any kind is payable by Providers, at enquiry, introduction, viewing, heads of terms, completion, or at any point during the term of a lease arranged through LeaseIQ.

5. Confidentiality of Property Information

Property details shared with you by LeaseIQ, including address, photographs, floor plans, rent expectations, and Landlord information, are provided in confidence and for the sole purpose of evaluating whether you wish to proceed with a lease arrangement.

You agree not to:

  • Share this information with third parties, including other introducers, agents, or brokers, without LeaseIQ’s prior written consent;
  • Use the information for any purpose other than evaluating the specific property introduced.

This obligation continues for 24 months following the end of an engagement. You may disclose to your professional advisers, funders, or insurers where reasonably necessary, provided they agree to observe these restrictions.

6. Non-Circumvention and Contract Documentation

Before any Landlord details are released to you, any viewing is arranged, or any engagement commences, you will be required to sign LeaseIQ’s Non-Circumvention Agreement and the relevant contract documentation.

By accepting these Terms you agree to that requirement, and you agree that you will not approach, negotiate with, or transact with any Landlord introduced or identified to you by LeaseIQ otherwise than through LeaseIQ.

The restricted period, the parties and properties covered, the permitted exceptions, and the consequences of breach are set out in the Non-Circumvention Agreement.

Where these Terms and the executed Non-Circumvention Agreement conflict, the Non-Circumvention Agreement prevails.

7. Regulatory Compliance and Provider Warranties

As a condition of engagement, you confirm that your organisation:

  • Holds all registrations, licences, permissions, and insurance required by law for the services it delivers and the activities it carries out;
  • Has disclosed its regulatory status to LeaseIQ accurately and in full, including where it is not subject to statutory regulation;
  • Where registered with the Regulator of Social Housing or the Care Quality Commission, is in good standing with that regulator and has disclosed any current enforcement action, judgement, or regulatory grading;
  • Will notify LeaseIQ promptly if its regulatory status, financial position, or ability to perform changes materially during any active engagement.

You acknowledge that LeaseIQ presents your regulatory status to Landlords, and that inaccurate disclosure may cause LeaseIQ and the Landlord loss.

8. Data Use and Regulatory Information

By engaging with LeaseIQ, you consent to:

  • LeaseIQ collecting and using publicly available data about your organisation (including from the Regulator of Social Housing, the Care Quality Commission, and Companies House) to assess suitability and present to Landlords;
  • LeaseIQ contacting you by phone or email in connection with property introductions;
  • Your organisation name, regulatory standing, and general profile being presented to Landlords on a confidential basis as part of the matching process.

Your data will be processed in accordance with our Privacy Policy.

9. No Guarantee of Match or Agreement

LeaseIQ does not guarantee that any introduction will result in a signed lease, or that any property will meet your requirements. Introductions are made in good faith based on available information and may be withdrawn at any time.

10. Limitation of Liability

Nothing in these Terms limits or excludes LeaseIQ’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

Subject to that:

  • LeaseIQ is not liable for any indirect or consequential loss, or for loss of profit, loss of business, loss of opportunity, loss of funding, or damage to goodwill, however arising.
  • LeaseIQ’s total aggregate liability arising out of or in connection with an engagement is limited to £5,000.
  • LeaseIQ is not liable for any act, omission, default, or insolvency of any Landlord, for the condition or legal status of any property, or for the performance of any lease entered into between you and a Landlord.

You are responsible for your own due diligence on any property and Landlord introduced to you, including title, planning, condition, and compliance.

11. Withdrawal and Termination

Either party may end an engagement at any time by written notice before contracts are signed. No fee is payable by you on withdrawal or termination at any stage.

Once contract documentation has been signed, withdrawal, termination, and notice periods are governed by the terms of that contract and not by these Terms.

LeaseIQ may decline to make further introductions where information you have provided proves materially inaccurate, where your regulatory position changes, or where you breach these Terms.

Clauses 5, 6, 10 and 15 survive the end of any engagement.

12. Complaints

If you are unhappy with any aspect of our service, contact us at info@lease-iq.co. We will acknowledge your complaint within 5 working days and provide a full response within 28 days.

LeaseIQ is a member of the Property Redress Scheme, membership number PRS048536. If you remain dissatisfied after our final response, or if 28 days have passed without one, you may refer your complaint to the Property Redress Scheme.

13. Changes to These Terms

LeaseIQ may amend these Terms from time to time. The version in force at the date of an introduction continues to govern that introduction unless you accept a revised version in writing. Amended Terms will be published on our website with an updated version number and date.

14. General

Severability. If any provision is found unenforceable, the remainder continues in full force.

Entire agreement. These Terms, together with any executed Non-Circumvention Agreement and contract documentation, constitute the entire agreement between us and supersede all prior discussions and representations, save for any fraudulent misrepresentation.

No waiver. A failure or delay in enforcing any provision does not waive the right to enforce it later.

Assignment. You may not assign or transfer your rights or obligations without LeaseIQ’s prior written consent.

Third party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its provisions.

Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.

Notices. Notices must be given in writing to info@lease-iq.co or to the email address you provided, and are deemed received one working day after sending.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
